If you do not agree with these terms, please do not use our website.

1. About These Terms

These Terms & Conditions govern your use of the Softech Media website and provide general terms relating to enquiries, website content, communications, and our services.

Specific projects and services may also be governed by a separate proposal, quotation, statement of work, service agreement, or other written agreement between Softech Media and the client.

Where a signed or otherwise applicable service agreement contains terms that specifically govern a project, those terms will apply to that project.

  • E-commerce development

  • Mobile application development

  • Other digital development services

  • Performance marketing

  • Social media services

  • Digital strategy and related services

The exact scope, deliverables, timelines, fees, responsibilities, and terms for a particular project will be agreed with the client before work begins.

Not every service listed on our website may be available for every project.

3. Website Information

We make reasonable efforts to keep the information on our website accurate and useful.

However, website content is provided for general informational purposes and may change without notice.

We do not guarantee that every piece of information on the website will always be complete, current, or error-free.

4. Project Enquiries

Submitting an enquiry through our website does not automatically create a client relationship, contract, or obligation for Softech Media to provide services.

After receiving an enquiry, we may contact you to understand your requirements, discuss suitability, clarify the scope, and determine the appropriate next steps.

Any project engagement will begin only after the relevant commercial and project terms have been agreed.

5. Quotes and Proposals

Any quotation, proposal, estimate, or pricing information provided by Softech Media is subject to the assumptions, scope, timelines, and conditions stated in that document.

Unless specifically stated otherwise, estimates are not a guarantee of the final project cost.

Additional requirements, changes in scope, third-party costs, delays, or client-requested changes may affect the final cost and timeline.

6. Client Responsibilities

Clients are expected to provide accurate information, required content, approvals, access credentials, brand assets, feedback, and other materials reasonably necessary to complete a project.

Delays caused by missing information, delayed approvals, unavailable resources, or changes requested by the client may affect the agreed project timeline.

Clients are responsible for ensuring that materials supplied to Softech Media can legally be used for the intended project.

7. Changes to Project Scope

A project is developed according to the agreed scope.

Requests that materially change the agreed requirements, functionality, design, content, integrations, or deliverables may be treated as additional work.

Additional work may require revised pricing and timelines.

8. Third-Party Services and Platforms

Some projects may depend on third-party platforms, software, hosting providers, plugins, APIs, payment gateways, advertising platforms, domain providers, or other external services.

Softech Media is not responsible for outages, policy changes, price changes, technical limitations, suspension, discontinuation, or failures caused by third-party services.

Any third-party fees are generally the responsibility of the client unless otherwise agreed in writing.

9. Intellectual Property

Unless otherwise agreed in writing, Softech Media retains ownership of its pre-existing materials, internal processes, reusable components, frameworks, methodologies, tools, templates, and know-how.

Ownership or licensing of final project deliverables will be determined by the applicable project agreement, proposal, or payment terms.

Clients must not use, reproduce, distribute, or modify Softech Media’s proprietary materials outside the rights granted to them.

10. Client-Provided Materials

The client remains responsible for materials, information, images, text, trademarks, data, software, or other content supplied to Softech Media.

The client represents that they have the necessary rights or permissions to use such materials.

The client agrees to indemnify Softech Media, to the extent permitted by applicable law, against claims arising from unauthorised use of materials supplied by the client.

11. Website and Marketing Results

For marketing, SEO, advertising, or performance-related services, results may depend on factors outside our control, including competition, market conditions, platform algorithms, advertising policies, search engine changes, audience behaviour, budgets, and third-party platforms.

Therefore, Softech Media does not guarantee specific rankings, traffic levels, leads, sales, revenue, advertising results, or other business outcomes unless expressly agreed in writing.

We focus on implementing agreed strategies and delivering the agreed scope of work professionally.

12. Payments

Project fees, payment schedules, deposits, milestones, recurring fees, taxes, and other commercial terms will be specified in the relevant quotation, proposal, invoice, or service agreement.

Where applicable, work may be paused if agreed payments are not received within the applicable payment period.

Any ownership or delivery conditions related to outstanding payments will be governed by the applicable project agreement.

13. Cancellation and Termination

Either party may terminate a project or service arrangement where permitted under the applicable agreement.

Termination may be subject to notice periods, outstanding payments, completed work, committed third-party costs, or other agreed conditions.

Any project-specific cancellation or termination terms will be communicated in the applicable service agreement or proposal.

14. Confidentiality

We respect confidential business and project information shared with us during an engagement.

Both parties should take reasonable steps to protect confidential information and avoid disclosing it to unauthorised parties, except where disclosure is required by law or reasonably necessary to provide the agreed services.

Where a project requires specific confidentiality obligations, the parties may enter into a separate confidentiality agreement.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Softech Media will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of our website or services.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

Any liability relating to a specific project will be governed primarily by the applicable project agreement.
